BYLAWS
OF THE FELLOWS OF THE INDIANA BAR FOUNDATION
(Approved by the Indiana Bar Foundation Board of Directors
April 24,1989, and as amended April 13,1989, May 1,1993, and
April 6, 2001. )
ARTICLE I
Name and Purposes
Section 1. The name of this organization shall be The
Fellows of the Indiana Bar Foundation, as established
in the Bylaws of the Indiana Bar Foundation adopted October
15,1979.
Section 2. The purpose of the Fellows shall be to support
the program of the Indiana Bar Foundation and to contribute
to the attainment of the objectives for which the Foundation
was organized, including: the advancement of continuing legal
education for the practicing lawyer and the introduction of
the law school graduate to the practice of law; programs promoting
the publics understanding of the law and the legal system;
supporting scholarships for the study of law; legal research
and surveys; the promoting of legal aid and lawyer reference
services, and programs enhancing the performance of the legal
professions ethical responsibilities.
ARTICLE II
Privileges of Fellows
Section 1. Membership in the Fellows is evidence of professional
distinction and constitutes a professional honor. Each Fellow
shall be privileged to participate in the activities of the
Fellows.
Section 2. Each Fellow shall receive a plaque signifying
his or her membership and a copy of Annual Reports and other
publications as may be issued by the Foundation, and shall
enjoy such other privileges as may from time to time be accorded
by the Foundation. In addition, the Fellows may recommend
new programs or research projects for consideration by the
Foundation.
ARTICLE III
Membership
Section 1. Classes of Membership. There shall be seven classes
of Fellows: (1) Fellow; (2) Life Fellow; (3) Master Fellow;
(4) Life Master Fellow; (5) Patron Fellow; (6) Life Patron
Fellow; and (7) Barrister.
Section 2. Eligibility and Selection. Fellows of the six
classes shall be chosen from members of the Indiana State
Bar Association in good standing who are recognized for professional,
public and private careers which have demonstrated outstanding
legal ability and devotion to the welfare of their community,
State and Nation, as well as to the advancement of the legal
profession.
(a) The initial enrollment of Fellows is that constituting
persons approved by the Board of Directors of the Indiana
Bar Foundation during the charter period which inaugurated
the Fellows program and which ended on December 31, 1979.
(b) Memberships approved subsequent to December 31, 1979,
shall be on the basis of individual invitations following
the persons nomination by the Nominating Committee of
the Fellows of the Indiana Bar Foundation. There shall be
a limitation on such nomination and election of (1) One new
Fellow each year from each Indiana State Bar Association District;
and (2) New Fellows equal each year to the number of persons
who ceased to be Fellows, for any cause, during the preceding
calendar year; (3) Not more than three new Fellows each year
from among those members who by reason of retirement, non-residence
or out-of-state practice or employment, have no current professional
relationship to any of the Indiana State Bar Association Districts;
and (4) New Fellows each year equal to one hundred percent
(100%) of the number of Fellows who became Life Fellows by
completing their pledges the previous December 31. Such new
Fellows shall be elected by the Board of Directors of the
Indiana Bar Foundation.
Section 3. Fellow and Life Fellow. Each Fellow elected shall
contribute to the Indiana Bar Foundation. A Fellow may contribute:
(a) $2,000.00, if contributed in on e (1) year; (b) $2,500.00
so long as the Fellow contributes no less than $500.00 on
or before December 31 each successive year for five (5) years;
or $3000.00, so long as the Fellow contributes no less than
$300.00 on or before December 31 each successive year for
ten (10) years. A Fellow shall become a Life Fellow when his
or her contributions shall have totaled the amount pledged.
A Life Fellow membership shall continue as long as the member
shall live and remain a member of the Indiana State Bar Association.
Section 4. Master Fellow and Life Master Fellow. Persons
elected as Fellows shall be designated Master Fellows should
they contribute to the Indiana Bar Foundation: (a) $4,000.00,
if contributed in one (1) year; or not less than five hundred
dollars ($500.00) each year for ten years. A Master Fellow
membership shall continue during each successive year so long
as such Master Fellow contributes no less than five hundred
dollars ($500.00) on or before December 31 of the year preceding
such successive year. A Master Fellow shall become a Life
Master Fellow when his contributions shall have totaled the
amount pledged. A Life Master Fellow membership shall continue
as long as the member shall live and remain a member of the
Indiana State Bar Association.
Section 5. Patron Fellow and Patron Life Fellow. Persons
elected as Fellows shall be designated Patron Fellows should
they contribute to the Indiana Bar Foundation not less than
seven hundred fifty dollars ($750.00) each year for ten years.
A Patron Fellow membership shall continue during each successive
year so long as such Patron Fellow contributes no less than
seven hundred fifty dollars ($750.00) on or before December
31 of the year preceding such successive year. A Patron Fellow
shall become a Life Patron Fellow when his or her contributions
shall have totaled seven thousand five hundred dollars ($7,500.00).
A Life Patron Fellow membership shall continue as long as
the member shall live and remain a member of the Indiana State
Bar Association.
Section 6. Fulfillment of Fellow Pledge. A Fellow, Master
Fellow, or Patron Fellow whose membership is terminated by
reason of failing to maintain the pledged annual contributions
may be readmitted upon payment of the difference between the
amount contributed and the total amount pledged. The Board
of Directors may in its discretion, for good cause shown,
extend the membership status and the annual pledge payment
deadlines for any period or periods. In no event shall the
Foundation be required to refund to any Fellow any contribution
or part thereof.
Section 7. Membership Year. The membership year for all Fellows,
Master Fellows, and Patron Fellows shall be the calendar year
immediately following their making of their designated contribution
to the Indiana Bar Foundation. Annual contributions are due
on or before December 31 of each year.
Section 8. Expenses of the Fellows. The Board of Directors
of the Indiana Bar Foundation will appropriate from time to
time sufficient funds to care for the necessary clerical and
administrative expenses of the Fellows.
Section 9. Barristers Club. Persons elected as Fellows
shall be designated Barristers when they have contributed
to the Indiana Bar Foundation a total of $25,000. A Barrister
is entitled to all rights as a Fellow and will be recognized
as such.
Section 10. Friends of the Foundation. Persons who are not
Fellows and entities that contribute $25,000.00 or more to
the Indiana Bar Foundation shall be designated Friends of
the Foundation. A Friend of the Foundation will be recognized
at the Fellows annual meeting, but will not have the rights
of a Fellow.
ARTICLE IV
Annual Meeting
Section 1. The Fellows shall hold their annual meeting during
the week of the annual meeting of the Indiana Bar Foundation,
which may be in conjunction with the spring meeting of the
Indiana State Bar Association, in each year, beginning in
1981.
Section 2. At each annual meeting the Fellows shall: (1)
Elect the officers for the ensuing year; (2) Receive a report
on the activities and programs of the Foundation; and (3)
Induct persons newly elected as Fellows, Master Fellows, or
Patron Fellows. The Fellows also may: (4) Recommend to the
consideration of the Foundation programs or work deemed by
the Fellows to be in furtherance of the Foundations
purposes; (5) Make an award to a Fellow who has been engaged
in the active practice of the law for a period of more than
fifty years, during all of which time he or she has manifested
adherence to the highest principles and traditions of the
legal profession and of service to the public in the community
in which he or she lives; and (6) Make other awards as are
deemed appropriate.
Section 3. The recipients of the awards shall be elected
by the Board of Directors of the Indiana Bar Foundation. Recommendations
as to recipients of such awards shall be encouraged from the
Fellows. A Nominating Committee shall recommend the recipient
to the Board of Directors.
Section 4. Notice of annual meetings shall be mailed to each
Fellow at least thirty days prior to the date of the meeting.
At such meeting the Fellows present shall constitute a quorum.
Section 5. Until the year 1981, the officers of the Foundation
shall serve as the officers of the Fellows.
ARTICLE V
Officers and Committees
Section 1. The officers of the Fellows shall be a Chairman,
a Vice Chairman, and a Secretary. The officers elected shall
hold office until the end of the next annual meeting and until
their successors have been duly elected. In the event of any
vacancy in the office of Chairman, the Vice Chairman shall
succeed; in the office of Vice Chairman the Secretary shall
succeed; and in the office of Secretary an Acting Secretary
shall be appointed by the Chairman to serve for the balance
of the unexpired term.
Section 2. Committees of the Fellows shall include the following:
(a) Nominating Committee composed of one Fellow from each
of the Indiana State Bar Association Districts appointed by
the President of the Foundation as provided in Article VI,
Section 5, of the bylaws of the Indiana Bar Foundation. Such
committee shall recommend persons for election as Fellows,
Master Fellows, or Patron Fellows to the Board of Directors
of the Foundation no later than September 1 of the year in
which such committees are appointed. The committee shall also
nominate persons for election as officers of the Fellows at
the annual meeting.
(b) A Nominating Committee to nominate the recipient of the
50-Year Award shall be appointed by the Chairman of the Fellows.
(c) The Chairman of the Fellows may create and appoint other
committees when the good order of the Fellows and its activities
may recommend it.
ARTICLE VI
Amendments
Section 1. These bylaws may be repealed or amended or new
bylaws adopted when approved both by the Fellows at an annual
meeting and the Board of Directors of the Indiana Bar Foundation.
Such bylaws shall not be in conflict with the bylaws of the
Indiana Bar Foundation.
